1. Introduction & acceptance
These Terms & Conditions ("Terms") govern the legal relationship between TIRO-ALP and any individual or legal entity ("Client", "User") that accesses our websites, purchases services, pays invoices, approves a Project Brief, or uses our products.
By using our services or completing a purchase, you agree to be legally bound by these Terms. These Terms apply to both business users (B2B) and consumers (B2C).
If a separate written contract is signed, that contract prevails in case of conflict.
2. Definitions
- Services: digital products and services including custom development, AI solutions, automation, technical scans, and security audits.
- Project: the set of tasks defined in writing through a Project Brief or a written offer.
- Deliverables: the outputs delivered to the Client (code, reports, documentation, applications, systems).
- Scan/Report: automated technical analysis and the resulting on-screen or PDF output (where applicable).
- Subscription/Credits: recurring access or prepaid usage units (where applicable).
3. Scope of services
Services may include, without limitation:
- Custom software development
- AI-based systems and automation
- Technical compliance scans (e.g., CookieGDPR)
- Security audits (e.g., CyberAudit)
- Digital consulting and implementation support
4. Project initiation & Client cooperation
Work on a Project begins only after (a) payment confirmation and (b) written approval of the Project Brief (or written offer), unless otherwise agreed in writing.
- Cooperation: the Client must provide required access (API keys, servers, accounts), data, and feedback within 3 business days when requested.
- Project stagnation: if the Project is stalled for more than 10 business days due to Client inaction, TIRO-ALP may suspend work and apply a reactivation fee of 15% of the Project value.
5. Revisions & acceptance
- Revisions: one (1) revision round is included, provided it does not change the original scope defined in the Project Brief.
- Feedback window: the Client has 5 business days from delivery of a version to request changes. No response within this period constitutes tacit acceptance.
- Production use: any commercial or public use of Deliverables constitutes final acceptance "as is" and ends the free revision right.
6. Pricing & third-party costs
Unless explicitly included in a written offer, third-party costs are not included in TIRO-ALP fees and are borne exclusively by the Client. These may include (without limitation) API usage (OpenAI), cloud hosting (AWS/others), payment processor fees (Stripe), and software licenses.
7. Digital delivery & waiver of withdrawal (B2C)
Services are delivered digitally and may be executed immediately after purchase. By completing a purchase, the Client expressly requests immediate execution of the service.
In accordance with Article 16(m) of Directive 2011/83/EU and OUG 34/2014, the right of withdrawal does not apply once performance has begun with the consumer's prior express consent and acknowledgment.
8. No refunds policy
Due to the digital and instantly executed nature of services:
- No refunds for completed scans or delivered digital reports
- No refunds for consumed credits
- No partial refunds for subscription periods already started
- No refunds after custom project work has commenced
Refunds may be issued only in cases of proven technical malfunction directly attributable to TIRO-ALP, evaluated case-by-case.
9. Intellectual property (IP)
- TIRO-ALP property: all pre-existing frameworks, scripts, methodologies, and know-how remain TIRO-ALP property.
- Transfer: usage rights for Project-specific Deliverables transfer to the Client only after full payment of all invoices related to the Project.
- Portfolio: TIRO-ALP may reference the Client name and display non-sensitive visuals in its portfolio, unless explicitly prohibited by NDA or written agreement.
10. AI & automation specifics
The Client acknowledges that AI-based systems may generate unpredictable outputs and may be affected by third-party updates (APIs, models, browsers). TIRO-ALP does not guarantee 100% accuracy of AI-generated outputs. The Client is solely responsible for monitoring and validating outputs and decisions.
11. Reverse engineering prohibition
The Client shall not decompile, disassemble, reverse engineer, attempt to extract source code, or replicate proprietary TIRO-ALP components or architecture. Any breach constitutes a serious infringement of intellectual property rights.
12. Post-delivery support
- Included support: 30 days of free support for critical bugs that prevent operation according to initial specifications.
- After period: further interventions, changes, or maintenance are billed separately.
- Third-party changes: issues caused by updates/changes by third parties are excluded from free support.
13. Confidentiality
Both parties shall keep confidential any technical, commercial, or strategic information received during the collaboration. This clause complements (but does not replace) any separately signed NDA.
14. Non-solicitation (anti-poaching)
During the collaboration and for 6 months after completion, the Client shall not hire or contract directly with TIRO-ALP team members involved in the Project without TIRO-ALP's written consent. Breach may result in compensation equivalent to 6 months of average remuneration of the involved person.
15. Force majeure
Neither party shall be liable for delays or failure caused by events beyond reasonable control, including (without limitation) war, pandemics, cyberattacks, government actions, or large-scale outages of third-party providers (cloud, APIs, payment processors).
16. Limitation of liability
TIRO-ALP's total liability for any claim is strictly limited to the amount paid by the Client for the relevant service or Project. TIRO-ALP is not liable for indirect, incidental, consequential damages, lost profits, lost data, business interruption, regulatory fines, or third-party claims.
17. Payments & fraud
Payments may be processed via third-party providers (e.g., Stripe). TIRO-ALP reserves the right to suspend accounts suspected of abuse or fraud and to contest chargebacks for validly delivered digital services. Fraudulent disputes may result in legal action.
18. Dispute escalation
Before initiating court proceedings, the parties agree to attempt amicable resolution, including mediation via the Chamber of Commerce and Industry Bucharest within 30 days from written notification of the dispute. If mediation fails, disputes shall be resolved by Romanian courts.
19. Governing law
These Terms are governed by Romanian law and applicable EU regulations.
20. Amendments
TIRO-ALP may update these Terms at any time. Updated versions apply prospectively from the publication date.
